Edouard C. LeFevre is a partner in the Business Law Department of Foley & Lardner LLP. He is a member of the firm’s Transactional & Securities and Private Equity & Venture Capital Practices, and concentrates his practice on mergers and acquisitions and venture capital financing. He is also a member of the firm’s Emerging Technologies and Energy Industry Teams.
Mr. LeFevre represents clients in a broad range of business transactions. His transactional practice includes representing buyers and sellers in public and private M&A deals, representing issuers and investors in seed, venture capital and private equity financings, and structuring and negotiating joint ventures and strategic alliances.
Mr. LeFevre also represents clients on an ongoing basis through all stages of growth. His general corporate practice includes advising entrepreneurs through entity formation and start-up, advising companies and executives with respect to employment, compensation and non-competition arrangements, counseling companies on securities, employment and intellectual property matters, and negotiating commercial agreements, including licensing, OEM and distribution contracts.
Mr. LeFevre also represents clients in public company transactions and matters. His public company experience includes representing issuers and underwriters in IPOs, PIPEs and SPACs, assisting public companies with Exchange Act reporting, assisting directors, officers and significant shareholders with Section 16 reporting, and counseling public companies and individual directors with respect to compliance with SEC, NYSE and NASDAQ governance requirements.
Mr. LeFevre earned his J.D. from Boston College Law School in 1995 and his B.A. from the University of Notre Dame in 1992. While at Boston College Law School, he served as executive editor of the U.C.C. Reporter-Digest.
Mr. LeFevre is a member of the state bars of Massachusetts and Connecticut.
Mr. LeFevre is a chair of the firm’s Audit Letter Committee. He is a member of the firm's Diversity Committee. He also serves on the Boston office’s pro bono committee.
Mr. LeFevre has been selected for inclusion in the 2005, 2006, 2007, 2008 and 2010 Massachusetts Super Lawyers–Rising Stars® editions for his work in securities & corporate finance. He was selected by his peers for inclusion in the current edition of The Best Lawyers in America® in the field of mergers and acquisitions.
Mr. LeFevre is author of "Key Issues and Trends in a VC Deal Term Analysis," a chapter of Inside the Minds: Analyzing VC Deal Terms (Aspatore Books: 2008).
