E. Thom (Todd) Rumberger Jr. is a partner with Foley & Lardner LLP where he focuses his practice on private equity, mergers and acquisitions and venture capital, and Internet, software, telecommunications, digital media and financial services companies through all stages of their growth. He is a member of the firm’s Private Equity & Venture Capital and Transactional & Securities Practices and Emerging Technologies Industry Team.
Mr. Rumberger counsels his corporate clients, ranging from start-up, emerging growth stage and venture backed, to public domestic and foreign companies, on a wide variety of matters ranging from formation, capitalization, key executive employment and general employment issues, and corporate governance, to early (convertible debt and seed preferred) and later stage venture capital, debt and public equity financings and offerings, strategic partner, reseller, and similar commercial agreements. In addition, he has broad transactional experience representing public and private company, and private equity, buyers and sellers involved in mergers and acquisitions and financings.
Prior to joining Foley, Mr. Rumberger was a shareholder with an Am Law top 10 firm and previously worked with a Silicon Valley venture capital firm as well. From 1989 to 1991, he was a law clerk for the Honorable Patricia C. Fawsett and Honorable Kendall G. Sharp for the U.S. District Court for the Middle District of Florida.
Mr. Rumberger earned his Master of Laws in international commercial law from the London School of Economics (LL.M., 1993) and his Juris Doctor from the University of Florida Levin College of Law (J.D., 1989). He also graduated, cum laude, from Wake Forest University (B.A., 1986) where he majored in history.
Committed to investing in the community, Mr. Rumberger is an advisor to Quest Scholars, a non-profit 501(c)(3) organization that serves low-income youth who aspire to higher education. He is a founding member of the Florida International Civil Law Notaries and in addition, he is former general counsel to the Florida Aviation and Aerospace Alliance, Inc., a 501(c)(3) organization promoting the development of space, defense and aerospace industries in the State of Florida.
Mr. Rumberger is admitted to practice in California and Florida and is a member of the American Bar Association. He speaks Russian.
Mr. Rumberger is the author of The Acquisition and Sale of the Emerging Growth Company: The M&A Exit, published by ThomsonReuters/West Publishing (2011). His articles “How to leave a company and not get sued” (2006) and “Top 5 Exit-Deal Killers for Early-Stage Companies” (2013) appeared in VentureBeat.
