Represented former directors of Integrated Health Services, Inc. in an $80 million-fiduciary duty case brought by the Unsecured Creditors’ Committee, on behalf of the bankruptcy estate, in the Delaware Court of Chancery, challenging pre-bankruptcy executive compensation. Following a motion to dismiss in which a substantial number of plaintiff’s claims were disposed of, the case was settled for a fraction of the claimed damages. As is customary, the company’s D&O carrier paid the costs of settlement and all costs of defense. This matter was handled prior to joining Foley.
