Counseled Hanger Orthopedic Group, Inc. (Hanger), through its subsidiary Hanger Prosthetics & Orthotics, Inc., in the acquisition of certain of the orthotics and prosthetics assets of Tri-State Prosthetic-Orthotic Center, Inc., a West Virginia corporation solely owned by Michael J. Zones. The transaction provided for a possible earnout payment based upon an applicable targeted amount for net revenue collected with respect to products sold and services rendered at the seller’s facilities following closing. Foley also assisted Hanger in negotiating a noncompetition agreement with the seller.
