Helen L. Toal is of counsel with Foley & Lardner LLP, where she is a member of the Commercial Transactions & Business Counseling and Transactional & Securities Practices. Ms. Toal focuses her practice in corporate and corporate finance areas, with emphasis on mergers, acquisitions and divestitures, business formation and financing, and corporate governance issues.
Ms. Toal counsels primarily middle-market private and publicly held companies in a wide variety of industries, including manufacturing, consumer product marketing and distribution, financial services, and technology. This aspect of her practice typically includes counseling officers, directors, and equity owners on a broad range of corporate governance issues, all manner of contract negotiations, corporate finance matters and, for public companies and their shareholders, securities registration and reporting obligations.
In her mergers and acquisitions practice, Ms. Toal has structured, negotiated and documented numerous mergers, stock and asset acquisitions and divestitures (including management buy-outs) and strategic joint ventures, and has handled all aspects of related acquisition financing. Securities transactions have included going private transactions and reorganizations of publicly held corporations, as well as representation of issuers in the sale of debt and equity securities.
Ms. Toal is a 1973 graduate of Stanford Law School and earned a B.A. in history in 1969 from the University of Michigan. She is admitted to practice in Illinois, and is a member of the Illinois and American Bar Associations.
