Jarvis P. Kellogg is a partner in the firm’s Private Equity & Venture Capital and Finance & Financial Institutions Practices and a member of the Emerging Technologies Industry Team. Mr. Kellogg focuses his practice in private equity, venture capital and merger and acquisition transactions, particularly in the information industries.
Mr. Kellogg's experience includes:
- Representing banks and bank groups in complex secured transactions, initial financings, refinancings, restructurings and workouts
- Representing lenders, equity investors, mezzanine investors, purchasers and sellers in a wide variety of financial and merger and acquisition transactions
- Representing middle market and money market lenders and borrowers in secured and unsecured loan transactions
- Counseling institutions and individuals in the communications and information industries on matters of general corporate, commercial and banking law, venture financing and inter-creditor matters
- Counseling a variety of individual and middle-market entrepreneurs, including health care providers, in general business matters, including intellectual property matters
Recent representative transactions include:
- Representation of a private equity fund in the acquisition of a market leading energy technology company
- Representation of a private equity fund in the acquisition and recapitalization of a leading provider of media technology to national food service providers
- Representation of a world industry leader in biodiesel fuel manufacturing and trading in recapitalization of its alternative fuel business
- Representation of a private equity fund in the recapitalization/refinancing of a New England regional cellular tower company
Mr. Kellogg also maintains an entertainment law practice, representing theatre producers and entrepreneurs. He has co-produced plays and musicals in Boston and New York.
Mr. Kellogg is chair of the board of directors of the Middlesex County Volunteers, a member of the Collections Committee of the Boston Public Library, a member of the Society of Fellows of the Boston Bar Foundation and a member of the Boston Bar Association.
