Kathryn Agostinelli is an associate with Foley & Lardner LLP and is a member of the firm’s Transactional & Securities, Finance & Financial Institutions, and Latin America Practices. She is also a member of the Sports Industry Team.
Ms. Agostinelli’s practice encompasses general corporate and business law, with an emphasis on mergers and acquisitions, corporate governance and securities law. Her experience includes representing both private and public companies (as acquirers or targets) in a wide variety of industries in stock and asset acquisition transactions. She also provides counseling to clients on a variety of general corporate matters, including entity selection and formation, governance and securities compliance.
Recent transactions include:
- Representing Guggenheim Baseball Management in its historic acquisition of the Los Angeles Dodgers;
- Counseling private equity firms in the acquisition and financing of various mid-size manufacturing businesses in the midwestern United States;
- Representing small and mid-size private companies in obtaining initial rounds of financing in private placements of equity securities;
- Assisting public companies in registered offerings of equity securities, including the preparation of filings required by the ’33 and ’34 Acts; and
- Representing a medical device company in the completion of several strategic investments to enhance its global portfolio.
Ms. Agostinelli gained experience as a financial analyst and an audit and enterprise risk services intern prior to entering law school. During law school, Ms. Agostinelli was a summer associate in Foley’s Los Angeles office (2008 and 2009). Prior to starting at Foley, she served as an in-house law clerk to a large Spanish-language media company, where she assisted on various corporate and securities matters.
Her article, “Great Taste, Less Filling: Revisiting The NFL’s Rooney Rule” was published in the California Minority Council Program’s newsletter and appeared on JDSupra Law News (March 2013).
Ms. Agostinelli is a graduate of the University of California, Los Angeles School of Law (J.D., 2010) where she was a member of the Moot Court Honors Program and was honored as an Outstanding Advocate. Ms. Agostinelli earned concurrent undergraduate degrees in accountancy and history, summa cum laude, from the University of San Diego (B.Acc., and B.A., 2007), where she was the valedictorian of the School of Business Administration. Ms. Agostinelli also completed a thesis in history as a part of the USD Honors Program.
Ms. Agostinelli is admitted to practice in California and before the U.S. District Court for the Central District of California and the Ninth Circuit Court of Appeals.
