Mergers and Acquisitions/Transactional
Having worked with hundreds of insurance companies as well as having served as officers and directors of insurance companies, Foley attorneys thoroughly understand the complexities that shape the insurance industry. Our attorneys have handled a variety of transactions and corporate restructurings, including mergers, stock acquisitions, initial and secondary public offerings, reinsurance affiliations, lending transactions, demutualizations, mutual holding company conversions and mergers, management and service agreements, and investment company and investment advisory compliance.
Foley attorneys also are well-versed in preparing related transactional regulatory filings with the Federal Trade Commission (FTC), the U.S. Securities and Exchange Commission (SEC), the United States Department of Justice (DOJ), and state insurance departments.
In connection with our insurance mergers and acquisitions practice, Foley's Insurance Industry Team works seamlessly with other parts of the firm in a variety of ways to address controversies arising out of insurance transactions.
Regulatory Matters
More than just understanding the regulations that apply to the insurance industry, Foley attorneys and paraprofessionals actively participate in the insurance industry. They advise, counsel, and litigate with respect to the current regimen of statutes and regulations. Foley has particular strength in managing relationships both at the state and federal level, working hard to protect and advocate the interests of our clients before numerous regulatory bodies.
We have established excellent working relationships with most state insurance departments and also represent insurance companies and others on matters pending before Congress.
Insurance Taxation
Foley also enjoys a premier national reputation in the field of federal and state insurance taxation. Our attorneys focusing in this area regularly represent insurance industry clients in a variety of tax planning and tax controversy matters.
Our attorneys regularly respond to audits and investigations, seek tax refunds, and defend our clients in civil and criminal cases brought by federal, state, and local taxing authorities at the administrative, trial, and appellate court levels.
At the federal income tax level, we have handled many of the most significant insurance tax cases of the past 30 years, including Bituminous Casualty, Sears, Utah Medical, and G.E. Life and Annuity. In recent years, we have successfully resolved Internal Revenue Service (IRS) audits and appeals involving nearly $4 billion in proposed adjustments for our clients. We have represented major companies and industry trade associations on all major federal income tax legislation introduced since 1955, handling the drafting of proposed legislation, lobbying, and presenting testimony before Congress.
