Attorneys in Foley’s Tampa office have extensive capabilities in various areas of legal counsel, including:
Corporate Services
Tampa is known as a gateway to Florida’s High-Tech Corridor, providing the platform for our attorneys in the Transactional & Securities Practice to represent and counsel clients ranging from privately held growth companies to large publicly held companies. Our Transactional & Securities Practice features a highly regarded, full-service business law practice representing clients throughout the State of Florida. We represent a wide range of corporate clients as outside corporate counsel and provide services across several disciplines, including public and private equity offerings, securities compliance, mergers and acquisitions, corporate governance, private equity and venture capital financing, technology transactions, and takeover defense. These attorneys also represent borrowers and lending institutions in a wide variety of financing transactions.
Our Real Estate Practice offers a broad range of experience in representing lenders, developers, investors, borrowers, property owners, and tenants in their real estate and real estate finance legal needs. The project list for our attorneys is extensive and features landmark office buildings, hotels, mixed-use projects, master-planned communities, golf courses, shopping centers, and other commercial real estate throughout the state. In addition to representing developers we have broad experience in representing both lenders and borrowers in acquisition loans, land development loans, interim and permanent loans, construction loans, and letters of credit. We also have broad experience in land use matters for a variety of real estate projects and are actively involved with the real estate aspects of public offerings, including several REIT transactions.
Our attorneys in the Tax and Estates & Trusts Practices concentrate on estate planning, probate, trust law, and transactional tax matters. We work closely with the Transactional & Securities Practice to structure mergers, acquisitions, spin-offs, and securities offerings. We also provide sophisticated estate planning for wealthy individuals and families, while public company executives require employee benefits counsel, including estate planning for stock option plans, employee stock ownership plans (ESOPs), retirement benefits, compensation plans, restricted stock and fringe benefits, and compliance with relevant securities laws. We counsel owners of private and closely held companies on alternatives for transferring ownership and control to the next generation, and in solving liquidity concerns associated with estate taxes. And, as the tax law affecting closely held businesses changes, we continually develop new techniques for the smooth transfer of management and ownership.

Our Litigation Department is primarily based in the areas of securities defense, white collar and government enforcement, complex business litigation, real estate and construction litigation, and creditors’ rights.
