Thomas L. James is of counsel with Foley & Lardner LLP where he is a member of the firm's Transactional & Securities and Private Equity & Venture Capital Practices, as well as the Life Sciences Industry Team. Mr. James concentrates his practice on advising and representing life science companies, high technology companies and traditional business corporations in all industry segments, as well as providing guidance to boards of directors, executive management and investors on all business matters.
Mr. James counsels publicly held and privately held business entities on corporate law and securities law matters involved in formation, investment, growth, management, mergers and acquisitions, sales, licensing, and technology transfers. He also assists clients in the management of their patent portfolios and all licensing matters related to such portfolios as part of their strategic growth. Mr. James further assists clients on intellectual property issues in mergers and acquisitions. He assists clients in initial and secondary public offerings of equity, debt, and convertible securities, as well as private placements, including compliance with the United States federal securities laws and state securities laws.
Mr. James also assists publicly held clients in complying with the periodic reporting requirements under the U.S. Securities and Exchange Act of 1934, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K, initial reports and changes of beneficial ownership of securities on Forms 3 & 4, as well as compliance with the proxy rules and regulations.
Mr. James negotiates merger and acquisition transactions and agreements, technology licensing agreements, and all other business contracts, leases, licenses, and agreements of all types on behalf of clients, with special emphasis on life science, high technology and specialty product and service companies. In addition, he assists clients in drafting and creating all operational documents, including operating agreements, shareholder agreements, voting trusts, stock option and other compensatory plans and agreements, employment and non-compete agreements, confidentiality and non-circumvention agreements, and employee handbooks and manuals.
Mr. James is a graduate of the Georgetown University Law Center in Washington, D.C. (J.D., 1985) and the University of Maryland (B.S., 1980). He is a member of the District of Columbia Bar and is also admitted to practice before the United States Supreme Court and the U.S. Court of Appeals for the District of Columbia Circuit.
