Experienced Fund and Capital Markets Attorney John Haas Joins Foley's Private Equity & Venture Capital Practice
October 8, 2013
Foley announced today that John Haas has joined the firm as of counsel in the Private Equity & Venture Capital and Transactional & Securities Practices in the New York office.
Haas concentrates his practice on private and registered investment funds, as well as various innovative capital markets products. He has over a decade of experience in fund formation, U.S. and offshore securities offerings, developing new structures for capital markets transactions and providing general corporate law advice. Haas also regularly counsels on financial industry rules and regulations, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933 and the Securities Exchange Act of 1934. Haas also has extensive experience with various rules and regulations associated with the Dodd–Frank Wall Street Reform and Consumer Protection Act and the Basel accords.
“The breadth and depth of John’s transactional work, specifically his deep knowledge of capital markets, allows him to navigate clients through complex transactions and ensure pending deals are conducted in compliance with applicable regulations,” said Gabor Garai, chair of the firm’s Private Equity & Venture Capital Practice. “His unique experience advising from both a business and legal perspective brings immediate value to our clients.”
Prior to joining Foley, Haas was an executive director at UBS AG on the global capital solutions team within the debt capital markets group. At UBS AG, Haas was responsible for all aspects of deal structuring, origination and execution, and managed several transactions, including private and public offerings of hybrid securities and preferred stock.
“With the securities markets becoming more complex, businesses need a trusted advisor to ensure compliance and mitigate any potential litigation,” said Peter Wang, managing partner of Foley’s New York office. “John’s experience working with federal regulatory agencies will greatly assist our clients in effectively maneuvering the challenging regulatory landscape, and we are excited to welcome him to the firm.”
Prior to his time at UBS AG, Haas was an initial member of TS Capital, LLC, a provider of structuring advice and wholesale distribution services to alternative asset managers. Earlier in his career, he served as director on the product development team at Merrill Lynch, Pierce, Fenner & Smith Incorporated, and as an associate in the investment management group at Skadden, Arps, Slate, Meagher & Flom LLP.
