Foley is pleased to invite you to a program in our Foley Executive Briefing Series featuring a discussion on tenant-in-common (TIC) offerings. This program is for real estate developers and owners, lenders, commercial real estate brokers, securities broker-dealers, and investment advisors actively involved in, or considering involvement in, the fast-growing world of TIC offerings. TIC offerings are an important strategy for real estate owners considering the sale of their portfolio properties, real estate developers seeking moderately priced equity, and real estate investors searching for tax-advantaged investment opportunities. There also are important business opportunities for commercial real estate brokers, financial advisors, licensed securities broker-dealers, traditional and nontraditional real estate lenders, and equity providers.

Since the TIC offering industry was created by the 2002 publication of the Internal Revenue Service (IRS) Revenue Procedure 2002-22, it has grown to more than $4 billion in annual equity raised. The industry is now expanding into nontraditional real estate such as senior living facilities, golf courses, hotels, and oil and gas interests.

The free-flowing, interactive panel discussion will focus on new trends, developments, and opportunities in this expanding industry. Under the guidance of Boston-based Foley partner Stephen I. Burr, Foley has established a prominent national presence in representing sponsors, broker-dealers, and lenders in the TIC offering industry. Representation has included involvement in leading-edge hotel, golf course, and oil and gas offerings, in addition to many more traditional offerings.

Joining Mr. Burr on the panel addressing Current Trends will be Clay Womack, CEO, Direct Capital Securities and managing director, Adageo Capital Markets; Corey Smith, vice president, sales and marketing, Noble Royalties; John Mayeron, executive vice president, marketing and product development, DBSI; and Rich Day, account manager, Orchard Securities. Joining Mr. Burr on the panel discussing Meeting Investor Needs will be Chad Willis, CEO, Texas Energy; Ryan Bristol, CEO, PropPoint; Shannon Gillespie, regional vice president, Dividend Capital; Erik Olsen, principal, Omni Brokerage Inc.; Steve Hutek, vice president, national sales, Bluerock Real Estate; Steve Waldman, Vice President, LandAmerica Title; and Kenneth R. Appleby, tax attorney, Foley & Lardner LLP. In the panel discussion Focus on Golf and Resorts/Hotels, Mr. Burr will be joined by Clay Womack, Jerry Hinckley, national sales director, Textron Financial; Carlton Cabot, CEO, Cabot Investments; Todd Ratliff, vice president, HWE Hotels; and Ron Jackson, CEO of Meadowbrook Golf Group.

The Tenant-in-Common Offerings Seminar is part of the Foley Executive Briefing Series, designed for top-level business leaders. Experienced professionals and practiced Foley attorneys provide useful updates on current industry trends as well as practical solutions to the legal issues that impact businesses. The Foley Executive Briefing Series is featured in Foley offices across the country.
