Partner Gardner Davis was quoted in an Agenda Week article, “Delaware Stifles Merger Over Board’s Actions,” on December 8, 2014. The article discussed the Delaware Chancery Court’s temporary injunction to block a tax inversion merger of C&J Energy with Nabors Industries’ fracking division, a case that stresses the importance of corporate boards and directors in following a proper sales process. Davis was quoted saying, “In this case, the C&J board and management fumbled the ball by not satisfying their duty under Revlon to make sure the sale to Nabors was the best deal for the C&J shareholders.”
