The article discussed the corporate-governance manifesto released by prominent investors and CEOs that shares sensible principles for public companies, their boards of directors and their shareholders, a welcomed contrast to the traditionally inflexible rules espoused by proxy-advisory firms and activist investors. The authors shared comments on board elections, management compensation and independent chairmen.
