Margaret Johnson helps registered investment companies (including open-end funds, closed-end funds, and exchange-traded funds) and their investment advisers with SEC reporting obligations. She also counsels private investment sponsors (including established and emerging hedge, private equity, growth equity, credit, and fund-of-funds sponsors) on all aspects of fund formation and private fund sponsors, buyers, and sellers in secondary transactions. In addition, Margaret assists institutional investors (including endowments, governmental plans, family offices, fund-of-funds, and corporations) with their private capital investment activity.
Margaret’s experience ranges from preparing fund registration statements, shareholder reports, proxy statements, and other filings, to capital raising, marketing, preparing offering documents, drafting organizational documents, and counseling clients on regulatory, compliance, and operational issues both during an active fund raise and during the operational stage (including with respect to sponsor carried interest and management company arrangements).
Margaret is a member of the Transactions Practice Group.
Margaret is admitted to practice only in Wisconsin. Her practice in Colorado is temporarily authorized pending admission under C.R.C.P. 205.6.
