Shang Kong



Shang Kong is an associate and business lawyer with Foley & Lardner LLP, where he focuses his practice on corporate finance, representing public and private companies in connection with both stock and asset acquisitions, and operating agreements. He is a member of the firm’s Transactional & Securities Practice and the Automotive Industry Team.

Prior to joining Foley, Mr. Kong was an associate with a national law firm. While earning his law degree, Mr. Kong served as a legal intern with the Wayne County Prosecutor’s Office.

Representative Experience

  • Represented a privately held technology consulting firm in the sale of the company to an insurance company 
  • Represented a mortgage loan servicing firm in the sale of the company 
  • Represented a laser-based technologies company in its private offerings of common stock to accredited investors 
  • Represented a public audio equipment company in its IT outsourcing negotiations

Community Engagement

While in law school, Mr. Kong served as a student attorney with the Community and Economic Development Clinic which provides free transactional legal advice to community-based nonprofits in Detroit. He also served on the executive board of JDs in the D, a student organization dedicated to providing an opportunity for the University of Michigan Law School community to learn about Detroit-based organizations and the overall effort to revitalize the city.


Mr. Kong is a graduate of the University of Michigan Law School, (J.D., cum laude, 2013). He received his bachelor’s degree in linguistics from the University of Michigan (B.A., with high honors, 2010).


Mr. Kong is admitted to practice in the State of Michigan.


Mr. Kong is fluent in Mandarin Chinese.

Foley was named U.S.A. M&A Deal of the Year award winner for its work representing Steven Madden, Ltd. (NASDAQ: SHOO) in its acquisition of Schwartz & Benjamin, a recognized leader in the manufacture and distribution of footwear and accessories for upmarket brands. This award recognized the top value-creating M&A transaction from $5 million to $50 million in transaction value. Foley served as lead advisor to Steve Madden in this deal. The Foley team included John Simon, Gjina Lucaj, Shang Kong and Chris Boll.According to the Global M&A Network, winning this award equates to achieving the “Gold Standard of Performance,” Global M&A’s seal of endorsement validating excellence and preeminent status in the local, regional and global markets.
Foley represented a manufacturer in its stock acquisition of a rigid plastics business that manufactures containers and closures for food and home/personal care markets in North America.
Foley represented U.S. Pipe and Wynnchurch Capital as primary deal counsel in the sale of U.S. Pipe to Forterra Building Products.
