Overview

Carrie Long is a partner with Foley & Lardner LLP and a member of the firm’s Transactional & Securities and Private Equity & Venture Capital Practices. Carrie’s practice is concentrated in the areas of corporate finance and mergers and acquisitions. Carrie has represented issuers and underwriters in securities offerings over a broad range of industries. She has also represented buyers and sellers in domestic and international corporate acquisitions and dispositions. She has specific experience in the REIT, insurance, home services, financial services, telecommunications, and biotechnology industries.

Carrie regularly provides counsel to boards of directors, board committees, and senior officers of publicly-held companies regarding compliance with securities laws and stock exchange rules, matters of state corporate law and fiduciary duties, executive and director compensation plans, and best practices.

Representative Transactions

  • Counsel to issuers in initial and follow-on public offerings in various industries, including REIT insurance, financial services, automotive supply, manufacturing, real estate, telecommunications, broadcasting, health care, biotechnology, staffing, retail, and software
  • Counsel to a nationally based REIT in $1.2 billion public offering
  • Counsel to a leading global supplier of automotive systems, in a $450 million note offering and $250 million cash tender offer
  • Counsel to a group of Medicaid and Medicare HMO’s, in sale to a private equity firm valued at approximately $200 million
  • Counsel to a property and casualty insurance company in $100 million acquisition by a special purpose acquisition corporation

Education

Carrie earned her J.D., with honors, from the University of Florida College of Law. She graduated, cum laude, with a bachelor's degree in accounting and is a certified public accountant.

Representative Matters

Foley represented Robert W. Baird & Co. Incorporated in the secondary offering of common stock by Roadrunner Transportation Systems, Inc.
Represented Homeowners Choice, Inc., a Florida property and casualty insurance company, in the initial public offering (IPO) of its common stock and warrants.
Counseled United Insurance Holdings LC in its merger with FMG Acquisition Corporation, a special purpose acquisition company (SPAC). The merger consideration consisted of $25 million in cash and 8.75 million shares in FMG Acquisition. The transaction also included an earnout provision of up to $5 million in cash in the event net income exceeded $25 million in 12 months or in the 2009 calendar year. Because of the nature of United’s business, several representations and warranties concerning compliance with insurance laws and regulations were included in the merger agreement. United Insurance Holdings Corp. became a publicly traded company as a result of the acquisition.
