Felisa Sanchez has a transactional practice involving a wide variety of corporate, finance and commercial matters for domestic and international clients in the financial services, maritime, transportation and energy sectors. Felisa has almost 20 years of experience representing public and private companies in complex transactions, including:

  • Syndicated and bilateral secured loans
  • Maritime financings and restructurings
  • Transactions, contracts and regulatory compliance involving vessels and maritime assets

  • Oil, gas, energy and alternative energy lending
  • Reorganization and bankruptcy related lien analysis, DIP financing and workouts

Representative Transactions

General Finance Transactions

  • Represented a leading provider of fresh-cut produce in multiple syndicated loan facilities in excess of $100 million, bridge loan facilities and a debt restructuring including a 363 sale of assets
  • Represent an auto dealer finance lender in multiple revolving loan and floor plan loan facilities
  • Represented multiple foreign lenders as local counsel in secured transactions involving a variety of assets
  • Represented a mezzanine debt lender in a subordinated term loan to a consumer leasing platform
  • Represented a building products manufacturer in the negotiation and closing of its $450 million term loan and revolving loan credit facility with a syndicate of U.S. banks

Maritime Transactions

  • Represented a syndicate of international lenders as special maritime counsel and Marshall Islands counsel in connection with the $690 million debt financing of a Marshall Islands flag drillship
  • Represented an international drilling contractor in the construction and financing of two new drillships. These transactions involved loans of $465 million and $495 million provided by two different syndicates of international banks and construction contracts with two different Asian shipyards and various vendors of specialized equipment
  • Acted as special maritime counsel to a syndicate of foreign lenders in connection with the foreclosure of a mortgage on a Marshall Islands flag drillship and the arrest and judicial sale of the drillship in the Netherlands Antilles
  • Acted as special maritime counsel to a U.S. based offshore drilling contractor in the $1.2 billion public debt refinancing of its entire fleet of Panamanian flag drilling rigs and in connection with the construction and acquisition of two new Bahamas flag drillships
  • Represented U.S. bank as agent in a syndicated loan facility of $205 million to a U.S. tug company to refinance its existing debt and acquire a fleet of additional vessels
  • Represented a U.S. financial institution as syndicator in a sale and leaseback transaction for a U.S. based offshore services company involving five offshore supply vessels
  • Represented multiple U.S. banks and tug and barge companies in the financing of numerous U.S. flag tugs and barges
  • Represented a U.S. towing company in connection with the negotiation of a construction contract for four new harbor tugs and the financing of the project by a U.S. bank
  • Represented a U.S. towing company in the financing of two new harbor tugs
  • Represented a U.S. financial institution in the acquisition of the beneficial interests in two tankers, and then the termination of long term charters on the vessels, their transfer to a new ownership structure and the implementation of new management agreements

Energy Transactions

  • Represented an ad hoc group of secured noteholders in a collateral lien review of oil and gas assets, Chapter 11 bankruptcy and lien challenge actions
  • Represented a portfolio company in the negotiation and execution of a $500 million revolving credit facility with a U.S. bank
  • Represented the agent in a $70 million term loan to a mid-size E&P company
