Please join us for the next session of the Access to Capital Web conference series on Tuesday, December 4, 2012.

Bank regulatory changes, historically low interest rates, and other market factors have resulted in a surge of private debt placements commonly known as “direct purchase” financings by health care providers. In these transactions, providers directly place all or a portion of their debt with one or more financial institutions rather than access the public debt markets. This Web conference will feature an in-depth discussion of the issues facing nonprofit health care providers who consider the direct purchase alternative, including a discussion of recent trends, a comparison of direct purchase financing with public offerings, and an analysis of the benefits and disadvantages of this financing alternative.

During this session, the panel will explore:

  • Marketplace developments — pricing, indices, and new purchasers in the marketplace
  • Deal structuring concerns
  • Purchaser requirements and covenant concerns
  • Rating impact on outstanding debt
  • Tax issues, including special considerations for modifications and interest rate formulas
  • Securities issues and disclosure concerns

Panelists

  • Therese L. Wareham, Managing Director, Kaufman Hall
  • Martin Arrick, Managing Director, Standard and Poor’s Ratings Services
  • Laura L. Bilas , Partner, Foley & Lardner LLP
  • Michael G. Bailey, Partner, Foley & Lardner LLP
