Foley Represents Riot Platforms on Rockdale Land Acquisition and Landmark $1 Billion Data Center Lease with AMD

Foley & Lardner LLP represented Riot Platforms, Inc. (NASDAQ: RIOT), a Bitcoin-driven industry leader in the development of large-scale data centers and bitcoin mining applications, on its recent acquisition of approximately 200 acres in Rockdale, Texas, for total consideration of just under $100 million. The land acquisition was part of a series of transformative transactions that establish Riot’s data center business, with Foley also representing Riot in negotiations for a data center lease with Advanced Micro Devices, Inc. (NASDAQ: AMD).

These transactions represent a major milestone in Riot’s strategic growth into high-performance computing (HPC) data centers. The Rockdale acquisition significantly expands Riot’s operational footprint, bringing Riot’s total data center platform to approximately 1,100 acres and 1.7 GW of available power, and advances its initiative to develop premier infrastructure for next-generation data and AI-driven workloads. The addition of AMD as Riot’s first third-party data-center tenant validates the company’s strategic vision and demonstrates growing market demand for scalable, power-rich data center solutions in Texas and beyond.

Following the land acquisition, Riot executed a data center lease with AMD with a total expected contract value of approximately $1 billion. The AMD agreement, which initially provides for 25 MW of critical IT load capacity and is expandable up to 200 MW, is an anchor commitment that validates Riot’s data center business and positions the Rockdale Site as a foundational campus for third-party HPC and AI customers. The Rockdale facility itself is capable of expansion up to 700 MW of gross power, making it one of the larger operational data center sites available.

Foley advised Riot through all aspects of the land acquisition and data center lease.
