Overview

Rachel E. Conrad is an associate and business lawyer with Foley & Lardner LLP where she is a member of the Finance Practice and the Energy Industry Team. Rachel advises clients on energy project finance and renewable energy project development, and has worked on developing and financing numerous utility-scale solar projects. Rachel also has experience with renewable energy project acquisitions. She also advises clients on general corporate and business law with an emphasis on mergers & acquisitions, early-stage financing through private equity and venture capital.

Rachel has transaction experience in a variety of industries including the renewables industry, banking, manufacturing, SaaS, insurance, pharmaceuticals, consumer products, nonprofits and a variety of service industries. These transactions have varied from modest in size to over a billion dollars.

Before joining the firm as an associate, Rachel was a summer associate and law clerk with Foley. During law school, she was a student attorney at the Law & Entrepreneurship Clinic in Madison, where she assisted entrepreneurial clients with general formation, nonprofit and contract issues.

Representative Experience

  • Acted as sponsor counsel in the financing of a 239 MW, three-phase solar project in Michigan involving over $160 million in tax equity commitments and $380 million in debt financing
  • Acted as lender counsel in the financing of a set of three solar projects located in Georgia, totaling 287 MW in size, for a total of $362 million in debt financing
  • Represented a plastics manufacturing company in a $100 million sale to a private equity buyer
  • Acted as sponsor counsel in the financing of a 515 MW solar portfolio in Utah and Michigan involving $585 million in debt financing and $231 million in tax equity commitments
