Nicholas W. Kitzman



Nicholas (Nick) Kitzman is an associate and business lawyer with Foley & Lardner LLP, where he is a member of the firm’s Real Estate Practice. His practice encompasses a wide variety of real estate matters, including the sale, purchase, development, leasing, and financing of commercial and residential real property.

Nick’s experience includes drafting and negotiating purchase and sale agreements, leases and easements; obtaining title insurance for owners, tenants, and financing parties; performing real estate due diligence; and closing a wide variety of real estate transactions. Nick has significant experience assisting both lenders and borrowers in financing real estate development and stabilized projects with construction and permanent loans, New Market and Low-Income Housing Tax 'Credits and municipal, grant and bond supported financings. He also has experience on real estate aspects of wind, solar, and other energy projects, including drafting of site control documents and working on title, survey, and other development and permitting matters.

Representative Experience

Real Estate

  • Represented a national real estate developer in negotiating approximately $23 million in financing for a 4 building, 110-unit multifamily residential project located in the State of Oregon that included Low-Income Tax Credits, bond financing and other municipal grants and financing sources
  • Represented landowner in closing a $28.5 million New Markets Tax Credit transaction for the development of a community and recreation facility in northern Wisconsin
  • Represented Hilton Grand Vacations in its $175 million acquisition of a 208-room New York City hotel
  • Represented a major Midwest developer in negotiating over $35 million in acquisition and construction loans for multi-family and commercial development projects located in Wisconsin
  • Represented BM Eagle Holdings, LLC, on real estate matters in connection with the acquisition of 9 skilled nursing facilities in a total portfolio consisting of more than 90 facilities in 18 states


  • Represented a national wind developer in financing its portfolio of 6 wind projects located in California, Pennsylvania and West Virginia
  • Represented a leading regional bank on real estate diligence and related work in over $20 million of sale leaseback tax equity investments in solar projects located in five states
  • Represented a major U.S. financial institution on real estate diligence and related work in connection with over $100 million in tax equity investments in solar projects located in South Carolina, New York and Nevada and aggregating over 188 MW of production capability


Nick earned his law degree from Duke University School of Law (J.D., magna cum laude), where he was awarded Order of the Coif, Dean’s Award for Principles of Commercial and Bankruptcy Law, and the James S. Bidlake Memorial Award in Legal Analysis, Research, and Writing. During this time he was a research editor and executive committee member for vol. 65 of Duke Law Journal, a teaching assistant for Legal Analysis, Research, and Writing, and a co-president of the Business Law Society.

Prior to law school, Nick worked in a variety of different roles in the Wisconsin State Legislature, Governor’s Office and the Sheboygan County Economic Development Corporation. He also taught an English as a Second Language course in the Country of Armenia. A native of Oshkosh, Wisconsin, he graduated with distinction from the University of Wisconsin (B.S.), majoring in economics and political science.
