Paige M. Randall

Associate

Paige Randall works with private investment sponsors on all aspects of fund formation. A significant portion of her practice is advising clients on capital raising, marketing, preparing offering documents, and drafting organizational documents. She also counsels them on regulatory, compliance, and operational issues both during an active fund raise and during the operational stage, including with respect to sponsor-carried interest and management company arrangements. Paige’s sponsor clients include established and emerging private equity, venture capital, and fund-of-funds sponsors.

Additionally, Paige advises institutional investors, including endowments, governmental plans, family offices, fund-of-funds, and corporations, on their private capital investment activity. She also counsels private fund sponsors, buyers, and sellers in secondary transactions, including tender offers and continuation funds. In addition, she has experience advising sovereign wealth funds and insurance companies on their investment activity.

Paige is a member of the firm’s Fund Formation & Investment Management Group. Prior to joining Foley, she was an associate in the Investment Management Group at a global firm.

Representative Experience*

Fund Formation

  • Represented a Washington, D.C.-based real estate-backed loan sponsor raising third fund (US$850m).
  • Represented a New York-based private equity/middle-market technology fund raising first fund (US$780m).
  • Represented a Minneapolis-based middle-market credit sponsor raising second fund (US$150m).

Fund Transactions

  • Represented a New York-based private equity sponsor in a single-asset GP-led secondary sale with transaction value of US$126m.
  • Represented a Middle Eastern sovereign wealth fund and private equity sponsor in a multi-asset stapled secondary transaction with a total transaction value of approximately US$750m.
  • Represented a Connecticut-based maritime sponsor in a GP-led tender offer of fund interests in connection with the continuation of the fund’s term.
  • Represented an investment management firm in its participation in New York-based sponsor’s US$1.1bn continuation vehicle transaction.
  • Represented an investment management firm in its investment by a “GP stakes” private equity sponsor to help support its growth and acquisition strategy.

  • Mentor for Georgetown Law’s Early Outreach Initiative, a program designed to increase the diversity of the law school applicant pool by reaching out to high school students in underserved communities
