The panel addressed the prospects for and likely effects of advisory shareholder votes on executive compensation — so-called “say on pay” — through voluntary adoption or legislation. Panelists also discussed the impact of the U.S. Securities and Exchange Commission’s new executive compensation disclosure rules; the effect of stock-market declines on executive compensation; the usefulness of internal pay equity and wealth accumulation analyses in determining executive compensation; and the questions compensation committees should ask about existing and proposed executive compensation arrangements.
