The increasing globalization of the business world is driving record cross-border M&A activity, even among smaller and middle-market companies. Along with the benefits and synergies of overseas acquisitions are special challenges relating to the management, negotiation, and completion of these transactions. In this program, Foley Partner Curt P. Creely, Partner Zhu (Julie) Lee, Of Counsel Peter C. Linzmeyer, and Partner Kevin D. Makowski discussed the challenges that they’ve faced in helping clients pursue and acquire overseas targets. Speakers also discussed some of the cultural and legal issues of doing business in certain areas of the world, including Europe, Russia, South America, and Asia. The topics included:
- How do you manage local counsel and advisors?
- How do negotiating styles and the acquisition process differ in various parts of the world?
- What sort of unique business and legal issues might you need to negotiate?
- What types of hidden liabilities might you inherit?
