In an article on lessons learned from say-on-pay votes in 2011, Partner John Wilson and Associate Joshua Agen state that the major factor contributing to failed proxy votes in 2011 may have been a perceived disconnect between pay and performance. They conclude that companies familiar with the Institutional Shareholder Services’ methodology for voting recommendation and responsive to their 2011 say-on-pay votes may be better positioned for success with proxy voting in 2012.
