Christopher (Chris) Ullman works with private investment sponsors on all aspects of fund formation. A significant portion of his practice is advising clients on capital raising, marketing, preparing offering documents, and drafting organizational documents. He also counsels them on regulatory, compliance, and operational issues both during an active fund raise and during the operational stage, including with respect to sponsor-carried interest and management company arrangements.

Chris’ sponsor clients include established and emerging private equity, venture capital, growth equity, credit, and fund-of-funds sponsors. Additionally, he advises institutional investors — such as endowments, governmental plans, family offices, fund-of-funds, and corporations — on their private capital investment activity. He also advises private fund sponsors, buyers, and sellers in secondary transactions. Chris is a member of the firm’s Fund Formation & Investment Management Practice.

Fund Formation

  • Represented Florida-based multi-strategy sponsor raising sixth Luxembourg-domiciled credit fund (US $1.7bn fund complex).
  • Represented Nashville-based private equity sponsor launching first flagship funds focused on health care and specialty industrial businesses (US $300m).
  • Represented Connecticut-based private equity sponsor raising an annex fund (US $150m).

Fund Transactions

  • Represented Missouri-based private equity sponsor in single-asset GP-led secondary sale with transaction value of US $187m.
  • Represented New York-based private equity sponsor in single-asset GP-led secondary sale with transaction value of US $126m.
  • Represented California-based private equity sponsor in a single-asset GP-led secondary sale with transaction value of US$50m.
  • Represented Connecticut-based private equity sponsor in a multi-asset GP-led secondary sale with transaction value of US $200m.
  • Represented California local government pension plan in four private capital transactions totaling over US $100m in committed capital across various private investment funds.
  • Represented New York local government pension plan in five private capital transactions totaling over US $1bn in committed capital across various private investment funds.
  • Represented American insurance company selling six private fund interests on the secondary market with a transaction value of US $72m.
