Foley Advises Helm Bank USA in Sale to Banco de Crédito del Perú
Foley & Lardner LLP served as legal advisor to the shareholders of Helm Bank USA in their agreement to sell 100 percent of the bank to Banco de Crédito del Perú (BCP), a subsidiary of Creditcorp Ltd.
Under the terms of the agreement, BCP will acquire all of the issued and outstanding shares of Helm Bank for $180 million, subject to customary closing conditions and regulatory approvals in the United States and Peru.
Helm Bank, founded in 1989, is a Florida state-chartered community bank that as of the end of September 2025 held a loan portfolio of $648.2 million, total assets of $1.14 billion, and shareholders’ equity of $106.8 million. Helm Bank’s partnership with Credicorp, the leading financial services holding company in Peru with a presence across Latin America and in the United States, will enhance Credicorp’s cross-border capabilities and preserve Helm Bank’s legacy as a community-focused institution.
