Partner Gardner Davis was quoted in an article in The Deal Pipeline on July 11, 2014, titled “SEC Rules May Hurt Activist Drives, Contested Mergers.” The story examined the impact of guidance recently issued by the U.S. Securities and Exchange Commission regarding specific disclosure requirements on conflicts of interest, and allowances for institutional investors to abstain or automatically vote on shareholder or management proposals. Davis was quoted saying “This makes clear that you don’t have to deal with every issue that comes up. The advisers will want to vote on proxy contests because that is core to the economic direction of the company.”
