Stuart Fross is a partner and business lawyer with Foley & Lardner LLP where he concentrates his practice on securities laws and regulations, as part of the Fund Formation and Investment Management, Transactional & Securities and International Practices. He is also a member of the firm’s Environmental, Social, and Corporate Governance (ESG) Team. Stuart has recently represented asset managers in the formation, restructuring, and operational management of over $10 billion in funds covering U.S. and cross-border structures.
Stuart's main focus is investment managers and pooled investment vehicles, including AIFMD compliant funds, private debt funds, organized in the United States and offshore, hedge funds, U.S. registered open-end, closed-end and exchange-traded funds and bank collective investment funds (with an emphasis on stable value funds). Stuart has extensive experience in equity, high income and fixed income trading operations, as well as with distribution related issues for registered and unregistered funds.
Prior to joining Foley, Stuart was a partner with an international AmLaw 50 law firm. His experience also includes his roles as deputy general counsel and senior vice president Fidelity Investments. Stuart held several additional positions at Fidelity, including general counsel and senior vice president for Fidelity International Limited.
Representative Transactions
- Represented a U.S. alternative asset manager with US$9 billion-plus in assets under management in the structuring, restructuring, operations, ESG applications, international and cross-border funds, and the use of zero federal tax drag structures across several funds that include:
- Represented a U.S. alternative asset manager in a $2.1 billion direct lending closed-ended Irish Collective Asset Management Vehicle subject to the Alternative Investment Fund Manager Directive (AIFMD) with multiple parallel funds organized in the US and Luxembourg.
- Represented a U.S. alternative asset manager in a $180 million Luxembourg-based evergreen, open-end direct debt impact/ESG fund subject to regulation under the Alternative Investment Fund Manager Directive (AIFMD).
- Represented a U.S. alternative asset manager in a $250 million fund-of-one for a Canadian pension plan based in Ontario that met that investors’ unique tax and regulatory requirements.
- Represented a market-leading middle-market private investment firm with $7.6 billion-plus in assets under management on the formation and ongoing operations of a $490 million Luxembourg-based closed-end credit fund, accompanied by a $200m co-investment vehicle for a strategic investor.
- Represented a market-leading middle-market private investment firm with $7.6 billion-plus in assets under management on the formation and ongoing operations of a US$1.75 billion fund raise including a Luxembourg-based closed-end credit fund. The Fund is an example of Foley pioneering clients’ solutions as it is one of first closed-end US credit funds embracing an ESG investment strategy that meets the complex standards of Article 8 of the Sustainable Financial Disclosure Regulation (SFDR).
- Represented a U.S.-based private credit asset management firm specializing in direct lending and opportunistic private credit investing on the formation of a $275 million closed-end credit fund.
- Represented a U.S.-based private credit asset management firm specializing in direct lending and opportunistic private credit investing on the formation of $600 million closed-end credit fund of one that is organized in Luxembourg and is designed to enable an EU based insurance holding companies to qualify for treaty benefits.
- Represented a U.S.-based private credit asset management firm specializing in direct lending and opportunistic private credit investing on the formation of a $700 million cross-border closed-end credit fund
