富乐律师事务所合伙人托德·默里在彭博法律报道《IPO破产令律师警惕股东股票下跌诉讼》中发表评论,指出近期多起首次公开募股(IPO)受挫后,股东诉讼案件很可能增加。
“我们最近看到几起案例,公司上市后未能达到投资者的预期,导致投资者失望,”默里解释道,“这些或许只是市场驱动的事件,与虚假陈述毫无关系,但这并不意味着不会引发诉讼。”
默里指出,《证券法》第11条规定的严格责任原则适用于注册声明,在首次公开募股(IPO)和特殊目的收购公司(SPAC)相关的集体诉讼中尤其适用。
“十到十五年前,第11条索赔案件曾大量出现,但随着当前IPO和SPAC市场的兴起,这种趋势可能卷土重来,”他表示,“关键是要找到合适的代理方作为依托,但许多原告只需声称‘我的股份可追溯至IPO阶段’就能顺利通过驳回动议阶段。”
默里指出,企业必须格外谨慎地审查财务披露文件,剔除会计错误或内部控制问题,以避免诉讼风险——这些问题正是诉讼案件的常见诱因。他补充道,两位数的百分比下滑更容易引起潜在原告的关注。
默里补充道,当前的市场环境也应提醒企业警惕上市后可能出现的法律风险,即便在首次公开募股前前景一片光明。
