Two of the bills passed by the Texas Legislature in its 2013 Regular Session and signed by Governor Perry (Senate Bills 847 and 849) amend various provisions of the Texas Business Organizations Code (the “TBOC”). Both of the bills were sponsored by the Texas Business Law Foundation. The amendments will be effective as of September 1, 2013.
In summary, the amendments to the TBOC in Senate Bill 847:
• Simplify a restated certificate of formation that contains a new amendment by deleting Section 3.059(d) of the TBOC and its requirement to identify by reference or description each added, altered, or deleted provision of the certificate of formation.
