The roundtable participants discussed best practices and personal experiences relating to key corporate governance issues, including director, board committee, and CEO evaluations; director recruitment and term limitations; board and committee composition; separation of the chairman and CEO positions; the role of hedge funds and other shareholder activists; and the presence of third parties (e.g., experts and consultants) in the boardroom.
