This is the fifth year of our study, which benchmarks negotiated deal points in SEC-filed acquisition agreements involving public buyers of private targets. So, why call it Episode One?
We’re calling it Episode One because this is the first year the Deal Points Study is being produced under the auspices of the M&A Market Trends Subcommittee of the Negotiated Acquisitions Committee of the American Bar Association (“NAC”). As the Subcommittee’s founding co-chairs, we (the authors) believe this year’s Study represents a new beginning in our ongoing battle against the forces of anecdotal “It’s market because I said so” opposition.
