Katie Dunne is a member of the firm’s Real Estate Practice and Hospitality & Leisure Industry Team, representing and advising clients on a wide range of complex real estate transactions, including the acquisition, disposition, leasing, and financing of hotel, multifamily, and mixed-use projects.

Katie has particular depth in the hospitality sector and regularly represents hotel owners, developers, management companies, private equity sponsors, and receivers throughout the full life cycle of hotel assets. Her experience includes portfolio and single-asset hotel acquisitions and dispositions; franchise and management agreements; food and beverage management and licensing arrangements; and joint ventures. She has led negotiations for third-party and branded hotel management agreements for full-service, select-service, and lifestyle hotels and resorts across the U.S. and the Americas.

Additionally, Katie has significant experience representing both institutional and private lenders in connection with construction and permanent financings, mezzanine and preferred equity structures, and loan workouts involving hotel, mixed-use, multifamily, and industrial assets, including Low-Income Housing Tax Credit (LIHTC) projects.

Representative Experience

  • Represented a hotel owner in the sale of a multi-state historic hotel portfolio.
  • Assisted a global luxury lifestyle and hospitality company in connection with the rollout of a golf, entertainment, and social club concept, including structuring and negotiating site leases, facility management agreements, and equity related documents for multiple locations.
  • Represented an owner/developer in connection with the third-party management agreement and franchise agreement for a to-be-developed hotel in Ponte Vedra, Florida.
  • Assisted an opportunistic private investor in the conversion of a junior mezzanine loan to 100% equity ownership and the restructuring of management, branding, and senior debt facilities for a luxury boutique hotel in Dallas, Texas.
  • Represented a private real estate investment firm in the acquisition of the Rosewood Mansion on Turtle Creek Hotel in Dallas, Texas, including the restructuring of long-term management and branding arrangements with Rosewood Hotels & Resorts.
  • Advised and represented a hotel management company as a court-appointed receiver in connection with the sale of a nationwide hotel portfolio.
  • Represented an oil company in the negotiation of a warehouse lease for storage and remediation of inverters.
  • Represented a real estate client in connection with the acquisition and financing of a two-building industrial facility in suburban Columbus, Ohio.
  • Represented a real estate owner and developer in connection with franchise and branding documentation for a to-be-developed JW Marriott resort and the sale of a residential project in Texas.
  • Represented owners and operators in the negotiation of numerous food and beverage management and license agreements for upscale and luxury hotels.
  • Represented a private debt fund in multiple asset-based credit facilities secured by residential and mixed-use projects.
