Lessons From 2011 Annual Shareholders Meetings

Please join us for the first program in the NDI Management Working Group Series titled "Lessons From 2011 Annual Shareholders Meetings." The program will be led by Foley Partners Peter D. Fetzer and Patrick G. (Pat) Quick. Specific topics to be discussed include:

• How did "say on pay" change things, and what would you do differently?
• Dealing with proxy advisory firms' (negative) recommendations
• How much should you pay (to ISS and/or proxy solicitors) to get votes?
• What frequency for the "say on pay" vote carried the day, and how have companies reacted?
