Attorneys Gardner Davis and Neda Sharifi contributed an article to Westlaw Journal’s Corporate Officers & Directors Liability, “Delaware Court Delays C&J Energy Merger for Flawed Sale Process,” on December 15, 2014. The article discussed how the Delaware Chancery Court’s decision to hold up the merger of two hydraulic fracking oilfield firms to allow a search for alternative transactions is a cautionary tale that should spur prospective merger mates to double check that they’ve complied with all their Revlon duties.
