Foley Team Helps Magellan Health Acquire Majority Interest in Bayless Integrated Healthcare
A team of Foley attorneys led by Partner Chris Donovan represented Magellan Health, Inc., a leader in managing complex, high-cost health care, in the acquisition of a 70 percent interest in Bayless Integrated Healthcare, a leading integrated outpatient behavioral health and primary care provider in Arizona.
Magellan Health is a leader in managing the fastest growing, most complex areas of health, including special populations, complete pharmacy benefits and other specialty areas of health care. Its customers include health plans and other managed care organizations, employers, labor unions, various military and governmental agencies and third-party administrators.
Bayless Integrated Healthcare offers physical, emotional, behavioral and addiction health care services through 175 providers at eight locations in central Arizona. It has served the Medicaid population as a network provider for many of the managed care plan participants in Arizona’s Medicaid program for over 30 years. It is also designated as a URAC-accredited telehealth provider, offering telehealth services statewide in Arizona.
Bayless will serve as a growth platform for Magellan to enter new geographies as a partner to, or a provider of, integrated primary care and behavioral health in support of the company’s collaborative care model, Magellan Connect. The partnership will also help expedite Magellan’s strategy to scale an industry-leading, technology-enabled, integrated care model.
Donovan is co-chair of Foley’s Health Care Industry Team, co-chair of its Post-Acute Care & Senior Housing Practice, and a member of the firm’s Private Equity & Venture Capital Practice.
