Gardere Partner Richard A. Tulli will be speaking at the 37th Annual Conference on Securities Regulation and Business Law pre-conference program titled "The Nuts and Bolts of a Private Private Placement." Mr. Tulli will participate in the panel discussion "What You Owe Investors: What Are the Real Risks of the Investment,” where attendees will learn how to draft specific risk factors for the deal and the risk factors to include in almost every private placement memorandum.

The 37th Annual Conference on Securities Regulation and Business Law, which will take place at the Cityplace Conference Center in Dallas on Feb. 12-13, is a two-day program featuring comprehensive discussions on relevant topics for those representing or working for public or private companies on business, financial and governance matters. "The Nuts and Bolts of a Private Private Placement" pre-conference event will provide an overview of securities laws, including when to do a 506(b) Private Placement.
