Ritchie v. Rupe "caught corporate lawyers by surprise," and has the potential to change the way those attorneys advise clients facing minority shareholder oppression claims, Mr. Tulli said. "This case raises the question of how much corporations have to do to help facilitate the sale of stock and what risks it has to take on."
