Overview

Nolan Binney is an associate and business lawyer with Foley & Lardner LLP. Nolan is based in the firm’s Boston office where he is a member of the Fund Formation & Investment Management and Transactions Practice Groups.

Prior to joining Foley, Nolan was an associate at an international law firm in the private investment funds practice group. He represented private-equity sponsors in all aspects of closed-end fundraising processes including drafting private placement memoranda, subscription agreements, limited partnership agreements and side letters, as well as analyzing investor subscription materials and preparing upper-tier governing documents. He advised fund-of-funds clients during investment process including reviewing limited partnership agreements and summarizing terms thereof, drafting subscription documents and negotiating side letter agreements. He also counseled sponsors on ongoing regulatory requirements including ensuring Schedule 13D/G compliance and representing fund sponsors and investors in sales of private equity interests on the secondary market.

Previously, Nolan served as a legal intern at the Suffolk County District Attorney’s Office where he researched and wrote interoffice legal memoranda on financial fraud, embezzlement and white-collar crime. He also drafted motions to the Superior Court including oppositions to motions to dismiss and motions in limine. Nolan also served as a legal intern at another law firm and the Rockingham County District Attorney’s Office.
