Kelvin L. Thomas



Kel Thomas is an associate and Business Law attorney with Foley & Lardner LLP.  Kel is based in the Boston office where he is a member of the Fund Formation and Investment Management team and the Transactions Practice Group. Kel provides counsel to private and public institutional investors and government agencies, including pension funds.

Kel also advises emerging and middle-market fund managers on the formation and operation of venture capital, hedge, and real estate funds to include advice on management company structuring, drafting limited partnership agreements and limited liability company agreements for investment vehicles, side letter negotiations, secondary sales, and Investment Advisers Act registration and compliance. In addition to the fund formation matters, Kel also has extensive experience in a wide range of private sector investments across many different asset classes including private placement offerings and commercial mortgage lending from an insurance lender perspective.

Prior to joining Foley, Kel served as a Senior Counsel on the Investment Law team for a large international insurance company where he represented institutional clients’ investments across many different asset classes.

Prior to law school, Captain Kelvin Thomas served as a logistics officer in the U.S. Army.  Primarily stationed at Ft. Bragg, NC and an extended deployment to Afghanistan.

Public Service

Prior to law school, Captain Kelvin Thomas served as an active duty officer in the U.S. Army from 2006 – 2011.  Later, he also served in the Connecticut National Guard from 2011 – 2015.  Captain Thomas was an Airborne logistics officer stationed at Ft. Bragg, NC for the majority of his active duty career.  As a Company Executive Officer with the 647th Quartermaster Company (Heavy Drop – Aerial Equipment Supply), he helped lead over 120 Paratroopers through over 50 heavy aerial supply drops and over 28 parachute jumps. During his career, Captain Thomas also held positions such as:

  • Senior Battalion Logistics Officer for the 7th Transportation Battalion – a battalion operating at 3x capacity in a role that was a rank above his grade level at the time,
  • Logistics Officer-In-Charge (OIC) for Provincial Reconstruction Team (PRT) Kapisa in Kapisa Province, Afghanistan – a joint service mission with the Air force to bring development, governance and reconstruction operations to Kapisa and Bagram, Afghanistan, and
  • Chief of Operations for the 82nd Airborne Sustainment Brigade battle desk in Bagram Afghanistan – Helping to plan and monitor over 1400 logistical convoy patrols throughout Afghanistan with a staff of 22 Soldiers and officers.

During his military career, Captain Thomas was awarded a Bronze Star, Army Commendation Medal, Army Achievement Medal, and a French Army Achievement Medal for his service.  

Representative Matters

  • Simultaneously closed two global secondaries equity funds totaling over a combined $3B wherein the client invested $100M in each fund, spread across multiple investment entities. The funds purchase LP interests in existing funds at different life cycles and generate quick returns for our investors to meet Net Investment Income (NII) goals.
  • Represented institutional clients’ investment in $1.2B project financing private placement offering issued by a professional sports team for stadium construction on the West coast.
