Foley & Lardner LLP acted as legal counsel to client Carbonite, Inc., a leading provider of cloud and hybrid business continuity solutions for small and midsize businesses (SMBs), in its acquisition of Evault, Seagate’s business continuity and disaster recovery business. The acquisition expands Carbonite’s global footprint and is a continuation of their overall strategy to enhance products and services to clients. The deal greatly enhances their services in Europe and follows on the heels of Carbonite’s 2015 acquisition of MailStore in Germany.
The acquisition will allow Carbonite to provide a full suite of solutions that are cost-effective, easy to use and functional to meet the needs of all SMBs. Under the terms of the acquisition, Carbonite will acquire substantially all of the assets of EVault’s operations. Due to regulatory requirements in transferring employees in Europe, there were two separate transactions. The acquisition of EVault’s U.S. operations closed in January 2016 and the acquisition of its EU operations closed in March 2016.
The Foley team was led by Susan Pravda and included Michael Schultz, Christopher Bourne, Romina Filippou, Matthew Karlyn and a team of specialists led by Casey Fleming and Mark Neuberger.
