Thomas X. Fritsch is a special counsel and corporate lawyer with Foley & Lardner LLP based in the firm’s New York office where he is a member of the Insurance Practice.
Prior to joining Foley, Tom was general counsel and chief compliance officer at Haven Asset Management (Insurance) LLC where he was responsible for all legal and compliance matters including managing relationships with outside counsel and acting as lead counsel on all transactions. Tom advised the chairman/CEO and president on all legal issues, including corporate governance, employment, tax, insurance, regulatory and litigation matters.
Previously, Tom was general counsel and chief compliance officer of an SEC registered investment advisor to private equity funds focused on core capital assets within the transportation, energy, industrial, power and related sectors. Tom advised the four managing partners on all legal issues including fund formation, investor relations, corporate governance, employment, tax, insurance, regulatory and litigation matters. Tom was a key team member on numerous acquisitions, dispositions and financings in various asset classes including aviation, maritime and energy assets.
Tom was counsel in a national law firm based in New York City. He worked in the firm’s corporate department focusing on M&A transactions.
He also served as a partner, general counsel and chief compliance officer at an SEC registered investment advisor that managed in excess of $5 billion. Tom managed the legal, compliance and tax departments. He was responsible for all transactional work including numerous acquisitions, dispositions, joint ventures, lending transactions, real estate matters and restructurings. Tom served as the fund’s lead negotiator and strategist in numerous litigations.
In addition to being the lead attorney on numerous M&A transactions, financings and joint ventures throughout his career, Tom also has extensive experience working with various regulatory agencies including the SEC.
