David Berezowsky

David Berezowsky is a business lawyer and an Of Counsel with Foley & Lardner LLP. David is based in the firm’s Mexico City office where he is a member of the firm’s Finance Practice. His areas of practice cover a broad range of business and financial matters including, renewable energy projects, project finance, structured finance, and secured lending transactions; along with government procurement projects, mergers and acquisitions, joint ventures, and administrative litigation.
Prior to Foley, David worked for an international law firm in Mexico City, where he gained experience working on domestic and international mergers and acquisitions, as well as project finance transactions including power generation facilities, real estate, and water treatment projects. David has also assisted generators, suppliers, and off-takers in the negotiation of power purchase agreements under both the grandfathered and new power market regulations.
Representative Experience
- Represented SR Alternative Credit as lender in a $30 million credit facility to a fintech in Mexico secured by receivables from unsecured short-term consumer loans managed by an irrevocable management trust created with a Mexican bank.
- Represented SR Alternative Credit as lender in a $10 million credit facility to Dinerito in Mexico.
- Represented successfully different power generators in constitutional claims aimed to defend their power generation permits against the regulatory modifications implemented by the Mexican government.
- Represented Cementos Moctezuma in the negotiation of different power purchase agreements in the wholesale power market for their cement and concrete plants in Mexico.
- Represented General Energy Solutions Inc. in the acquisition and development of a 21.5 MW solar power generation facility in Sonora, Mexico*
- Represented Enera Power in the development of a 120 MW solar power generation facility in Quintana Roo, Mexico*
- Represented Engie Mexico in the definition of the contractual structure for the power supply in the new Mexican power market*
- Represented Engie Factory in the acquisition or investment in different energy related companies*
- Assisting 174 Power Global in energy regulatory matters for the different power generation projects in Mexico*
- Advised a Canadian company in the development and implementation of a 1.5 GW of power generation capacity in renewable energy and natural gas power projects in Mexico*
- Advised to a Canadian company in securing the rights of way, permits, and authorizations required for the construction of a 30” natural gas pipeline that will supply natural gas to CFE in Mexico*
- Represented Canadian Solar in the implementation of the solar panel business in Mexico*
- Represented a U.S. renewable energy company in the acquisition of a 30MW solar power generation facility located in the state of Guanjuato*
- Represented a U.S. renewable energy company in the financing of a 15 MW solar farm in Chihuahua, Mexico*
- Represented a French company in the development and implementation of the distributed generation business in Mexico*
- Assisted a Mexican company in its participation on different government procurement procedures for the design, construction, operation, and maintenance of waste water treatment plants*
- Represented Zodiac Aerospace in the negotiation of a power purchase agreement with Buenavista Renewables as generator and ESCO Mexico as supplier under the new Mexican power market*
- Represented different Mexican companies in the negotiation of power purchase agreements*
