Please join us for the next program in our 2013 NDI Checkpoint Web Conference Series, during which we will discuss the SEC's lifting of the ban on general solicitation and advertising for certain private placement offerings under Rule 506 and under Reg.144A under the Securities Act of 1933, and the implications for issuers of securities in such offerings.

Included in this discussion will be the "verification" process that should be used under the revised Rules, the implementation of the "bad-boy" provisions for Rule 506 offerings, the likely response of state securities regulators to the use of the revised Rules, and a status report on the other proposed changes to the U.S. securities laws under the JOBS Act legislation.

Panelists Include:

  • Patricia D. Struck, Securities Division Administrator, Wisconsin Department of Financial Institutions
  • Christopher C. Cain, Partner, Foley & Lardner LLP
  • Peter D. Fetzer, Partner, Foley & Lardner LLP
  • Terry D. Nelson, Partner, Foley & Lardner LLP
