Foley Partner Steven Barth was quoted in an article titled “Sense and Recompense” in the January 1, 2009 issue of Inside Counsel. Barth discusses company disclosure of performance target metrics and incentive plans with regards to executive compensation, stating that companies need to talk to key institutional share holders and proxy advisory firms when making executive compensation decisions. He adds that companies need a knowledgeable comp committee that is supported by knowledgeable HR and general counsel so that all pros and cons can be taken into account.
