Executive pay and compensation committee practices are being profoundly impacted by the governmental response to the financial crisis, the substantial decline in the equity markets, shareholder activism and other factors. This Web conference focused on a variety of these impacts, including enacted and potential legislation affecting compensation (e.g., “Say-on-pay”), compensation committee best practices in challenging economic times, institutional shareholder views on current compensation practices, risk assessment of incentive pay practices, dealing with underwater stock options, setting of bonus targets and other incentives in the face of limited visibility for the fiscal year, and considerations with respect to severance agreements.
