Ryan McNulty advises public and private companies, private equity sponsors, and founder-owned businesses on complex transactions and ongoing corporate matters. He guides clients through the full lifecycle of M&A transactions, including platform investments, add-on acquisitions, carve-outs, minority investments, recapitalizations, and exit transactions. His practice encompasses the full range of transaction structuring and execution matters, including management rollovers, earn-outs, seller financing, governance arrangements, and post-closing integration.
In addition to transactional work, Ryan advises clients on a broad range of general corporate and strategic matters, including entity structuring, governance and ownership arrangements, equity incentives, and commercial agreements. He frequently serves as a trusted advisor to management teams as companies grow, integrate acquisitions, operate within larger corporate groups, or prepare for strategic transactions or liquidity events.
Ryan has experience across a range of industries, including industrials, business services, healthcare services, energy, and technology-enabled companies. He is known for a hands-on, deal-driven approach and for serving as a primary day-to-day point of contact on transactions, coordinating closely with management teams, financial sponsors, lenders, and tax advisors.

- Represented Wynnchurch Capital in its acquisition of ORS Nasco from One Equity Partners.
- Represented NCH Corporation in its acquisition by Solenis, a global provider of water treatment and process solutions.
- Represented DLB in connection with Accenture’s acquisition of a majority stake, expanding Accenture’s capital projects and data center development capabilities.
- Represented Clyde Industries in its acquisition by Kadant, a publicly traded global supplier of industrial process equipment and systems.
- Represented LongWater Opportunities in its investment in Midland Garage Door, a platform focused on residential and commercial garage door services.
- Represented Rosewood Private Investments in its acquisition of Milestone Funeral Partners, a platform investment in the funeral services industry.
- Represented ORS Nasco, a portfolio company of Wynnchurch Capital, in its acquisition of R3 Safety, an add-on acquisition expanding its industrial safety platform.
- Represented Midland Garage Door in the carve-out and divestiture of Martin Door from Miter Brands, including the separation of operations, assets, and ongoing commercial arrangements.
