Representing both acquirers and sellers of insurance and reinsurance companies or their assets, we handle mergers, stock purchases, reinsurance acquisitions and affiliations, IPOs, secondary offerings, demutualizations, mutual holding company conversions, and structured finance and derivatives transactions. We also advise on the formation of offshore and captive insurers and other forms of alternative risk transfer.
We have been involved in a large number of acquisitions involving stock, mutual, and other forms of insurers, and all types of business, including life and health, property/casualty, and monoline. Members of our practice also represent cedents and reinsurers in a wide range of reinsurance transactions, including assumption reinsurance, portfolio transfers, co-insurance, and modified co-insurance deals.
We manage every stage of a deal — from initial consideration and strategic planning to legal due diligence, negotiation, documentation, regulatory reviews, and implementation. When appropriate, our deal team will consult and involve other Foley attorneys for their specific experience in unique areas, such as securities law, taxation, employee benefits and executive compensation, antitrust, environmental, information technology and outsourcing, real estate, labor and employment, and others. Many of these attorneys have experience utilizing their specific experience within the context of an insurance M&A transaction.
Foley represented Sun Life Financial in the acquisition of The Premier Dental Group, Inc., a Minnesota-based dental network.
Foley served as counsel for the Wisconsin Office of the Commissioner of Insurance (OCI) in its role as domestic regulator of Ambac Assurance Corporation (AAC) and as rehabilitator of the Segregated Account of AAC. We have been closely involved with the overall restructuring of AAC, including the recently announced global settlement with the CDO of ABS counterparties.
Foley served as health care and insurance regulatory counsel to Consonance Capital Partners, a leading healthcare private equity fund, in connection with the acquisition of APS Healthcare by KEPRO, Inc., a Consonance portfolio company and leading quality improvement and care management organization.
